Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you ("you", "User") and Accwisely.com ("Accwisely", "we", "us", "our"), governing your access to and use of the Accwisely website at https://www.accwisely.com and the software-as-a-service platform offered there (together, the "Service").
By creating an account, accessing the Service, or generating any output through the Service, you confirm that you have read, understood, and agreed to be bound by these Terms, the Privacy Policy, the Acceptable Use Policy, and any other policies referenced herein.
1. The Service
Accwisely is a document-formatting tool that takes a trial balance uploaded by the User and produces a draft set of financial statements in Microsoft Word (.docx) format. The Service is designed for Singapore private limited companies that prepare unaudited financial statements.
The output is a draft. It is a starting point intended for review by a qualified accountant or tax agent before issue. The Service does not perform an audit, does not certify the accuracy of figures, and does not constitute professional accounting, tax, legal, or compliance advice. 2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract under the law of your jurisdiction. If you use the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation to these Terms, in which case "you" includes the organisation.
The Service is offered primarily to users in Singapore. If you access the Service from outside Singapore, you do so on your own initiative and are responsible for compliance with the laws of your jurisdiction.
3. Accounts and credits
You may register for a Accwisely account using a valid email address. Each verified account receives a fixed number of free trial credits (currently three). Each generation of a financial statement output consumes one credit. Credits are non-transferable, non-refundable, and have no cash value.
You are responsible for the security of your account credentials and for all activity that occurs under your account. You must notify us at info@accwisely.com without delay if you suspect unauthorised access. We may suspend or terminate accounts that show signs of abuse, including but not limited to multiple-account creation to obtain additional free credits, automated account creation, or use of disposable email addresses to circumvent credit limits.
4. Your data and content
You retain all rights, title, and interest in the data you upload to the Service, including trial balance data, company information, and any input you provide (collectively, "User Content"). By uploading User Content, you grant us a limited, non-exclusive, royalty-free licence to process, store, and transform it solely for the purpose of providing the Service to you.
You confirm that you have the right to upload the User Content, including any necessary consent or lawful basis where the User Content contains personal data of third parties. You are responsible for the accuracy, completeness, and lawfulness of all User Content you upload.
We do not use your User Content to train machine-learning models other than as necessary to provide the Service to you. Where third-party processors (such as our hosting provider) are involved, we engage them on contractual terms that bind them to confidentiality and to use of the data only for the purposes of providing the Service.
5. Intellectual property
The Service, the underlying software, the Accwisely brand and trademarks, and all documentation, templates, and chart-of-accounts mappings developed by us are and remain our intellectual property. Nothing in these Terms transfers ownership of any of the foregoing to you.
Output generated by the Service from your User Content ("Generated Output") may be used by you, your organisation, and your professional advisors for any lawful purpose. We do not claim ownership of the Generated Output as applied to your specific business circumstances. The format, structure, and template elements of the Generated Output remain our intellectual property and may not be extracted, repackaged, or resold as a templating product.
6. Acceptable use
Your use of the Service is also subject to the Acceptable Use Policy, available at https://www.accwisely.com/acceptable-use. Breach of the Acceptable Use Policy is a breach of these Terms and may result in suspension or termination of your account.
7. Free trial; future paid plans
The Service is currently offered on a free-trial basis with limited credits per account. We may, at our discretion, introduce paid plans. We will give you reasonable notice before any feature you have been using free of charge becomes a paid feature. You will not be charged any sum unless you have actively subscribed to a paid plan and authorised payment through the relevant payment processor.
Refunds and cancellation rights for paid plans, when introduced, are governed by the Refund Policy at https://www.accwisely.com/refund.
8. Service availability
We aim to keep the Service available, but we do not guarantee uninterrupted access. The Service may be unavailable during scheduled maintenance, due to circumstances beyond our reasonable control, or as required by law. We may modify, suspend, or discontinue any part of the Service with or without notice.
9. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, where we reasonably believe you have breached these Terms, the Acceptable Use Policy, or applicable law, or where continued provision of the Service would expose us or other users to material risk.
You may terminate your account at any time by contacting us at info@accwisely.com. On termination, your right to access the Service ends. We may retain certain information after termination as set out in the Privacy Policy and as required by law.
10. Disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.
Without limiting the generality of the foregoing, and notwithstanding any marketing material, we do not warrant that the Generated Output is compliant with Singapore Financial Reporting Standards, ready for filing with the Accounting and Corporate Regulatory Authority, suitable for audit, suitable for any specific regulatory or tax purpose, free from error, or that any figure produced by the Service is accurate. The Generated Output is a draft for review by a qualified professional advisor.
11. Limitation of liability
To the maximum extent permitted by law, neither we nor our directors, employees, agents, or third-party service providers shall be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business, loss of data, loss of goodwill, or regulatory penalties, arising out of or in connection with your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability to you in connection with the Service shall not exceed, in any twelve-month period, the greater of (a) the total fees paid by you to us in that period, or (b) one hundred Singapore dollars (S$100).
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited under Singapore law, including under the Unfair Contract Terms Act 1977 (Singapore).
12. Indemnity
You agree to indemnify, defend, and hold us harmless from and against any claim, demand, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or related to (a) your User Content, (b) your breach of these Terms, the Acceptable Use Policy, or applicable law, (c) your infringement of any third-party right, or (d) your use of the Generated Output, including any decision taken by you or any third party in reliance on the Generated Output.
13. Changes to these Terms
We may update these Terms from time to time. Where the changes are material, we will give reasonable notice via the Service or by email to your registered address. Continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those updates. If you do not accept the updated Terms, you must stop using the Service and may terminate your account.
14. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-law principles. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that we may seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property or confidential information.
15. General
These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and us in respect of the Service, and supersede any prior understanding. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a corporate restructuring or sale.
